To be able to exercise your rights as a shareholder, you must apply to your depositary bank for an entrance ticket in good time. This entrance ticket entitles you

to attend the Shareholders' Meeting in person and exercise your voting right or

to appoint another person, a bank or an association of shareholders to represent you in person at the Shareholders' Meeting and exercise your voting right there or

to take part in votes in person by issuing an instruction – in writing or via the internet – to a proxy nominated by the company.

Order your entrance ticket!
Your depositary bank will provide you with a form that you can use to order your entrance ticket. If you have several securities accounts, you must order entrance tickets for each securities account in order to exercise voting rights for all shares. Please order entrance tickets as early as possible.

For the 2008 Shareholders' Meeting, it is no longer necessary to deposit shares. All shareholders who submit a special confirmation of their shareholding, issued in text form in the German or English language by their depositary bank, to the address stated in the invitation are entitled to participate in the Shareholders' Meeting and exercise voting rights. The confirmation of the shareholding must refer to April 18, 2008, 0:00 hours, and be received by the company by no later than Friday, May 2, 2008. This should be dealt with automatically when ordering an entrance ticket, but if in doubt please clarify the details with your depositary bank.

Participation in the Shareholders' Meeting

Participating in person
Upon presentation of your entrance ticket on the day of the Shareholders' Meeting at the entrance area of the Congress Room of the Münsterland Hall, you will receive a voting slip with which you may participate in the votes. If you would like to leave the Shareholders' Meeting early, you may request another shareholder to vote for you or hand in a written instruction for the vote on your voting slip. technotrans employees will be present to assist you with completing the form.

Representation by other persons, banks or
associations of shareholders
If you are unable to or do not wish to attend the Shareholders' Meeting in person, you have the option of authorising another person, a bank or an association of shareholders on the reverse of the entrance ticket to act as your proxy at the Shareholders' Meeting. Please complete the relevant section legibly, sign the authorisation at the designated point and hand the entrance ticket to your proxy.

Participation in the vote
This year we are again providing you with the opportunity to submit your vote by instructing a representative of the company. You may issue this instruction either in writing, by post or fax, or electronically via the internet. The proxy is directed to vote exclusively in accordance with the instructions they have been given.

To grant powers of proxy and instruct the company's proxies, please complete the relevant form on the entrance ticket and send it in to the address indicated, to be received by no later than May 07, 2008 (incoming mail). Please note that it is imperative to provide instructions on how the proxy is to use your vote.

Granting powers of proxy and instructing proxies of the company via the internet
Following receipt of the entrance ticket, but not before April 25, 2008, you may grant powers of proxy and issue instructions via the internet. You can access the system via our website www.technotrans.de, Investor Relations, 2008 Shareholders' Meeting.

Please proceed as follows:
1. To register, the five-digit number on the entrance ticket and the single-digit control code next to it are required.

2. Enter the details precisely as shown on the entrance ticket, including any typing errors, in the form that now opens. You will then receive an eight-digit access code, which you are requested to make a note of or print out and keep.

3. When you have confirmed that you have acknowledged the legal notes and the disclaimer of liability, you can grant powers of proxy and issue instructions.

4. You can do this by clicking on "Yes", "No "or "Abstention". Then click on "Confirm instruction". You will now be given an overview that you can check once more.

5. Amend your instructions as appropriate and conclude the process by clicking on "Grant powers of proxy and issue instructions". You can print out the confirmation which then appears, for your records.

You can use the aforementioned access data to revoke powers of proxy and amend instructions issued.

Please be sure to submit the electronic authorisation and instructions in good time. They must have been submitted by no later than the beginning of the votes on the day of the Shareholders' Meeting. The precise timing may depend on the meeting's proceedings and will be specified by the meeting's chair. We therefore recommend that you make the necessary arrangements in good time.

If you should decide to attend the Shareholders' Meeting in person after you have granted powers of proxy and issued instructions – whether in writing or via the internet – these powers of proxy and instructions will be identified by your entrance ticket and automatically cancelled.

Broadcast of the Shareholders' Meeting on the internet
Shareholders who are unable to or do not wish to attend the Shareholders' Meeting in person have the option of following key components of the Shareholders' Meeting (opening, speech by the Board of Management, the vote and the announcement of the results) on the internet. You can obtain access via our website www.technotrans.de, Investor Relations, 2008 Shareholders' Meeting. The user must have "Windows Media Player" or "Real Player" installed on their computer for the broadcast to function.

Exclusion clause
technotrans AG has taken technical and organisational measures in line with the current customary standards to ensure that the broadcasting of the Shareholders' Meeting on the internet and the submitting of powers of proxy and instructions via the internet will function. Despite all precautionary measures, technical hitches may nevertheless occur during the broadcasting of the event and the granting of powers of proxy via the internet.

It is possible that powers of proxy, their revocation, instructions or amendments to instructions may not be transferred at all, in time or in entirety, without technotrans being able to accept responsibility for this. technotrans AG moreover accepts no responsibility for errors by the service companies involved in the processing or for deficiencies in the network technology or in other hardware and software. The responsibility of technotrans AG for the functioning, the availability and the unrestricted operation of the telecommunications network and internet services, as well as the meeting of the customary postal delivery times, is likewise excluded.
