2005-10-01: technotrans managers terminate agreement on the pooling of voting rights
The management pool of technotrans, established in 1997 before the initial public offering and still the company's largest single shareholder, has resolved to terminate the formal pooling of voting rights. The members of the pool, of which there are currently 15, have taken this decision in order to allow individual managers greater personal flexibility in their private financial planning. Following the termination of the pooling of voting rights, the management pool no longer holds a notifiable level of more than 5 percent of the ordinary shares.

There are however no intentions to sell off larger quantities of these shares. "The former members of the pool continue to identify strongly with the company and will be playing an active part in the further development of the company. However, after a lock-up period that has lasted for eight years in some cases, it is time to replace the contractual ties with a voluntary, strongly individual commitment," commented Thessa Roderig, spokesperson of the management pool and responsible for investor relations at technotrans AG. This move increases the company's free float to almost 95 percent, with WestKB continuing to hold 5.5 percent of the shares.

These press releases contain forward-looking statements which are based on assumptions and estimations by the management board of technotrans AG. Even though the management board is of the opinion, that those assumptions and estimations are realistic the future development and the projected results may deviate substantially from the forward-looking statements. Those deviations can be due to several factors including but not limited to changes in the macro-economic situation, in the exchange rates, in the interest rates and in the graphic arts industry. technotrans AG gives no warranty and does not assume the liability for any damages in case the future development and the projected results do not correspond with the forward looking statements.
